1. Services Provided B17 Business Solutions Ltd (“B17”) will provide consultancy, advice, and related services as agreed with the client. All services will be delivered with reasonable care, skill, and diligence, consistent with professional standards.
2. Fees and Payment Fees are £185 per hour following an initial complimentary consultation, or as otherwise agreed for project-based work. Invoices are payable within 14 days of issue, unless otherwise agreed in writing. If any invoice is not paid by the due date, B17 reserves the right, without prejudice to any other rights, to:
a) Charge statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, being 8% above the Bank of England base rate, accruing daily from the due date until payment is received in full;
b) Recover the applicable fixed compensation sum under the Act; and
c) Recover all reasonable costs and expenses incurred in connection with the recovery of overdue sums, including but not limited to administrative time, third-party recovery agents, and legal or enforcement costs where applicable.
B17 reserve the right to suspend services if payment is overdue.
3. Confidentiality B17 will treat all client information as confidential and will not disclose such information to any third party without prior consent, except where disclosure is required by law, or to enforce contractual or legal rights.
4. Liability B17’s total aggregate liability arising under or in connection with any services provided, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the client for those services.
B17 shall not be liable for any consequential, or economic losses, including loss of profit, loss of opportunity, or reputational damage.
5. Termination Either party may terminate an engagement with reasonable written notice. The client remains liable for all fees, costs and expenses incurred up to the date of termination.
6. B17 is not a firm of solicitors and does not provide legal advice.
Any guidance, commentary, or recommendations provided by B17 are commercial and advisory in nature only and should not be relied upon as legal advice. No solicitor-client or fiduciary relationship is created by the provision of B17's services.
Client's are strongly advised to seek independent legal advice from a qualified solicitor before implementing or relying upon any contractual, legal, or enforcement-related recommendations discussed or referenced by B17.
B17 accepts no liability for actions taken by the client without independent legal verification where appropriate.
7. Governing Law These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
